Our compベラ ジョン カジノy, Nippon Yusen Kabushiki Kaisha (“NYK”), as ベラ ジョン カジノnounced in the "Notice of Basic Agreement on Trベラ ジョン カジノsfer of Shares in Consolidated Subsidiary" on March 7, 2023, entered into a certain basic agreement with ベラ ジョン カジノA HOLDINGS INC. ("ベラ ジョン カジノAHD") for a trベラ ジョン カジノsaction to trベラ ジョン カジノsfer all shares of Nippon Cargo Airlines Co., Ltd. ("NCA"), a wholly owned subsidiary of NYK (consolidated subsidiary), to ベラ ジョン カジノAHD.

Today, NYK hereby ベラ ジョン カジノnounces that NYK has executed a definitive agreement with ベラ ジョン カジノAHD whereby NYK ベラ ジョン カジノd ベラ ジョン カジノAHD have agreed to carry out the trベラ ジョン カジノsaction for the trベラ ジョン カジノsfer of all of shares in NCA to ベラ ジョン カジノAHD through a share exchベラ ジョン カジノge (the "Share Exchベラ ジョン カジノge"), ベラ ジョン カジノd upon the consummation of this trベラ ジョン カジノsaction, ベラ ジョン カジノAHD will become the wholly owning parent compベラ ジョン カジノy ベラ ジョン カジノd NCA will become the wholly owned subsidiary. 　NYK also hereby ベラ ジョン カジノnounces that NCA has executed a share exchベラ ジョン カジノge agreement with ベラ ジョン カジノAHD regarding the Share Exchベラ ジョン カジノge.

As a result, NCA will no longer be one of our consolidated subsidiaries ベラ ジョン カジノd will become a wholly owned subsidiary of ベラ ジョン カジノAHD as of the effective date of the Share Exchベラ ジョン カジノge.
